1. Introduction and Acceptance
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and ShowrProto ("we," "us," or "our") regarding your use of our audio and video equipment rental services, podcast studio facilities, and production services.
By placing a booking, making a reservation, or using any of our services, you confirm that:
- You have read, understood, and agree to these Terms
- You are at least 18 years of age
- You have the legal capacity to enter into binding contracts
- All information you provide is accurate and complete
2. Services Provided
2.1 Equipment Rental Services
ShowrProto provides rental services for professional audio and video equipment, including but not limited to:
- Microphones, audio mixers, and recording equipment
- Cameras, lighting, and video production equipment
- Podcast studio equipment and accessories
- Interview and production gear
- Ancillary equipment and accessories
2.2 Studio Rental Services
We offer podcast studio and production space rental with professional equipment and facilities suitable for:
- Podcast recording and production
- Video interviews and content creation
- Audio recording sessions
- Small-scale video production
2.3 Production Services
We provide professional filming and production services, including equipment operation, technical support, and production assistance as specified in individual service agreements.
3. Bookings and Reservations
3.1 Booking Process
To book equipment or studio time:
- Submit a booking request through our website, email, or telephone
- Provide accurate details about required equipment, dates, and intended use
- Receive booking confirmation and quote from ShowrProto
- Complete payment or deposit as required
- Receive final booking confirmation
3.2 Booking Confirmation
A booking is confirmed only when:
- You have received written confirmation from ShowrProto (email or signed agreement)
- Required payment or deposit has been received
- All necessary documentation has been completed
3.3 Availability
All equipment and studio bookings are subject to availability. We reserve the right to decline bookings at our discretion. Equipment specifications and availability are subject to change without notice.
4. Pricing and Payment
4.1 Pricing
Rental rates and service fees are:
- Quoted in British Pounds Sterling (GBP)
- Based on current pricing at the time of booking
- Subject to change without notice for future bookings
- Exclusive of VAT unless otherwise stated
4.2 Payment Terms
Payment requirements:
- Deposit: A deposit of 50% is typically required to confirm bookings
- Balance: The remaining balance is due before equipment collection or studio session
- Full Payment: May be required in advance for certain bookings
- Payment Methods: We accept bank transfer, credit/debit cards, and other agreed methods
4.3 Additional Charges
You may be charged additional fees for:
- Late returns of equipment
- Damage to or loss of equipment
- Cleaning fees for excessively dirty equipment
- Delivery and collection services
- Extended rental periods beyond the original booking
- Additional services requested during the rental period
4.4 Late Payment
Overdue payments may incur interest charges at a rate of 8% above the Bank of England base rate. We reserve the right to suspend services and pursue legal action for non-payment.
5. Equipment Rental Terms
5.1 Rental Period
The rental period begins when equipment is collected or delivered and ends when equipment is returned and accepted by ShowrProto. Late returns will incur additional charges.
5.2 Equipment Condition
Upon collection or delivery, you must:
- Inspect all equipment for completeness and condition
- Report any defects or discrepancies immediately
- Sign an equipment condition report acknowledging the state of the equipment
5.3 Client Responsibilities
As the Client, you agree to:
- Use equipment only for its intended purpose
- Operate equipment in accordance with manufacturer guidelines
- Take reasonable care to prevent damage, loss, or theft
- Keep equipment secure at all times
- Not sublet, sell, or transfer equipment to third parties
- Maintain equipment in the condition received (normal wear excepted)
- Return equipment clean and in working order
- Report any damage or malfunction immediately
5.4 Prohibited Uses
Equipment must not be:
- Used in hazardous or extreme conditions without prior agreement
- Used for illegal activities or purposes
- Modified, altered, or repaired without authorization
- Taken outside the United Kingdom without prior written consent
- Used in a manner that violates manufacturer warranties
5.5 Equipment Return
Equipment must be returned:
- On or before the agreed return date and time
- In the same condition as received (normal wear excepted)
- Complete with all accessories, cases, and documentation
- Clean and ready for immediate re-rental
6. Damage, Loss, and Liability
6.1 Client Liability
You are responsible for the equipment throughout the rental period and liable for:
- Any damage beyond normal wear and tear
- Loss or theft of equipment
- Full replacement cost if equipment is damaged beyond repair or lost
- Loss of rental income during repair periods
6.2 Insurance
We strongly recommend that you obtain appropriate insurance coverage for rented equipment. ShowrProto may require proof of insurance for high-value equipment rentals.
6.3 Damage Assessment
Upon return, equipment will be inspected. If damage is found:
- You will be notified and provided with a damage assessment
- Repair costs or replacement value will be charged to you
- You may be provided with repair quotes from authorized service centers
6.4 Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for any indirect, consequential, or incidental damages
- Our total liability is limited to the amount paid by you for the specific service
- We are not responsible for production losses, lost profits, or data loss
- Equipment is provided "as is" with no warranties beyond manufacturer warranties
6.5 Equipment Malfunction
If equipment malfunctions during the rental period:
- Notify us immediately
- We will attempt to provide replacement equipment or repair if possible
- Rental charges may be adjusted at our discretion
- We are not liable for consequential losses resulting from equipment failure
7. Studio Rental Terms
7.1 Studio Usage
When renting studio space, you must:
- Arrive and depart at scheduled times
- Respect studio rules and guidelines
- Keep noise levels appropriate
- Leave the studio clean and tidy
- Respect studio equipment and furnishings
7.2 Studio Access
Studio access is limited to:
- The number of people specified in the booking
- The time period reserved
- Authorized personnel only
7.3 Studio Equipment
Studio equipment is provided for use during your session. Damage to or misuse of studio equipment may result in additional charges.
8. Cancellations and Refunds
8.1 Cancellation by Client
If you need to cancel a booking:
- More than 14 days before: Full refund minus 10% administration fee
- 7-14 days before: 50% refund
- Less than 7 days before: No refund
- Cancellations must be made in writing (email acceptable)
8.2 Cancellation by ShowrProto
We reserve the right to cancel bookings due to:
- Equipment unavailability due to unforeseen circumstances
- Force majeure events
- Non-payment or breach of these Terms
If we cancel, you will receive a full refund or the option to rebook at a later date.
8.3 Rescheduling
Booking changes and rescheduling requests:
- Must be made at least 7 days in advance
- Are subject to availability
- May incur administration fees
9. Delivery and Collection Services
9.1 Delivery
If delivery service is arranged:
- Delivery fees are additional to rental costs
- Delivery times are approximate and not guaranteed
- You must be available to receive and sign for equipment
- Delivery to accessible locations only unless otherwise agreed
9.2 Collection
If collection is preferred:
- Collection must be during our business hours
- Photo identification may be required
- Equipment must be checked and signed for upon collection
10. Intellectual Property
10.1 ShowrProto Content
All content on our website, including text, graphics, logos, images, and software, is the property of ShowrProto and protected by intellectual property laws.
10.2 Client Content
You retain all rights to content you create using our equipment or facilities. We do not claim ownership of your productions.
10.3 Testimonials and Marketing
We may request permission to use your project for marketing purposes. We will obtain explicit consent before using any of your content or testimonials.
11. Data Protection and Privacy
We collect and process personal data in accordance with UK data protection laws. Please refer to our separate Privacy Policy for detailed information about how we handle your personal information.
12. Force Majeure
We are not liable for failure to perform our obligations due to circumstances beyond our reasonable control, including:
- Natural disasters, severe weather, or acts of God
- War, terrorism, or civil disturbance
- Government restrictions or legal requirements
- Pandemics or public health emergencies
- Fire, flood, or other catastrophic events
- Failure of utilities, telecommunications, or transportation
13. Indemnification
You agree to indemnify and hold ShowrProto harmless from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your breach of these Terms
- Your misuse of equipment or facilities
- Your violation of any laws or third-party rights
- Injury or damage caused by your use of our services
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of England and Wales.
14.2 Jurisdiction
Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
14.3 Informal Resolution
We encourage you to contact us first to attempt to resolve any disputes informally before pursuing legal action.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and any specific rental agreements, constitute the entire agreement between you and ShowrProto.
15.2 Amendments
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified Terms.
15.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
15.4 Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
